Terms of Service
These Terms of Service create a legal agreement between you (“You”) and Michael Benjamin, Inc. d/b/a Studio Parkside (“Studio Parkside,” “I,” “Me”).
Paying the project deposit indicates that you agree to the Scope of Work and these Terms of Service. These Terms take effect upon your approval of the Scope of Work and payment of the Project Deposit.
1. Scope of Work
You agree to the scope of work outlined in the project proposal. Any services, deliverables, or revisions not specifically listed in the approved scope will require a separate quote and written approval before work begins.
Unless stated otherwise, all work is performed remotely, and all creative deliverables are conceptual previews until explicitly confirmed as production-ready.
2. Project Team
Your project team must include all decision-makers responsible for approving project direction and deliverables.
The same participants must remain involved from kickoff through completion. Once the project begins, no new participants may be added. Outside commentary will not be considered.
3. Schedule and Availability
Studio Parkside commits to the agreed schedule as long as you provide timely feedback. Confirmation or feedback is expected within one business day of delivery.
If no feedback is received for seven consecutive days, work will pause automatically until communication resumes. Timeline adjustments will be made as needed based on the delay.
4. Payment
A non-refundable deposit equal to 50% of the total project fee is required to confirm your project start date. The remaining balance is due before delivery of final assets.
If additional services or revisions are requested beyond the agreed scope, Studio Parkside will issue an estimate for approval before proceeding. Full payment is required before ownership of any deliverables is transferred.
5. Edits and Additional Services
Unless stated otherwise, the project includes one design concept and one round of refinements. Additional concepts, deliverables, or rounds of edits are available at your discretion for additional cost.
All added work will affect both schedule and cost, to be confirmed in writing prior to execution.
6. Additional Expenses
Expenses not included in the original proposal—such as travel, production, physical mockups, printing, or asset licensing—will be billed separately. Estimates for reimbursable expenses will be provided in advance whenever possible.
7. Ownership and Use
Upon receipt of full payment, you will own all rights to the final deliverables created within the approved scope of work.
Studio Parkside retains ownership of preliminary materials, sketches, or concepts not included in the final approved deliverables. Studio Parkside reserves the right to display and promote the completed work once it is no longer confidential or has been publicly launched.
8. Confidentiality
Studio Parkside will make reasonable efforts to maintain strict confidentiality regarding all materials you share. This obligation does not apply to information already public or previously known to Studio Parkside.
9. Copyright and Warranty
You are responsible for confirming that your use of any deliverables does not infringe upon third-party rights.
Studio Parkside will not knowingly copy trademarked or copyrighted material. All work is provided “as is,” without warranty of any kind, including implied warranties of merchantability, fitness for a particular purpose, or non-infringement.
10. Disclaimer of Endorsement
Any recommendations made by Studio Parkside—such as vendors, contractors, or service providers—are provided for convenience and do not constitute endorsement or guarantee of performance or results.
11. Termination
Either party may terminate this Agreement with seven days’ written notice. In the event of cancellation, you will compensate Studio Parkside for 50% of the remaining unpaid balance. The initial deposit is non-refundable.
12. Entire Agreement
This document, together with all related proposals, invoices, and purchase orders, constitutes the full and final agreement between you and Studio Parkside.
It supersedes all prior communications, whether oral or written, concerning the project and its terms.
